These Terms and Conditions (“Terms”) govern your use of the Construct Detail website at constructdetail.com and any services we provide. By using the site or engaging us, you agree to these Terms. If you do not agree, please do not use the site.
About us
Construct Detail (“Construct Detail,” “we,” “us,” or “our”) is based in New York, NY and provides drafting and shop drawings, cost estimating and planning, and BIM coordination and clash detection services to contractors, fabricators, developers, and other construction professionals.
Our services
The specific scope, deliverables, schedule, and fees for any project are set out in a written proposal, quote, or agreement between you and Construct Detail (a “Project Agreement”). If these Terms conflict with a signed Project Agreement, the Project Agreement controls for that project. Information on this website is general and is not an offer to perform services on any particular terms.
Quotes and estimates
Quotes and proposals are based on the information and documents you provide and remain valid for the period stated in them. If the scope, drawings, or requirements change, we may revise the price and schedule. Requesting a quote does not create an obligation for either party until a Project Agreement is accepted.
Client responsibilities
You agree to:
- Provide complete, accurate, and current drawings, models, specifications, and other project information, and tell us promptly about changes.
- Confirm that you have the right to share the materials you send us.
- Review our deliverables and give timely feedback and approvals so work can proceed on schedule.
- Verify field conditions, dimensions, and project requirements before fabrication, ordering, or construction.
Revisions and changes
Revisions within the agreed scope are handled as described in your Project Agreement. Work outside that scope, including changes caused by new or revised information from you or other parties, may be billed as additional services.
Fees and payment
Fees, deposits, and payment schedules are stated in your Project Agreement. Unless it says otherwise, invoices are due within 30 days of the invoice date. Late balances may be subject to interest at the lesser of 1.5% per month or the maximum rate allowed by law, and we may pause work on accounts that are overdue.
Professional services and estimates
Our drafting, estimating, and BIM coordination services support the work of the project team. Unless we agree otherwise in writing, we do not act as the architect, engineer of record, or contractor, and our deliverables are not sealed or stamped. Cost estimates are our professional opinion of probable cost based on the information available. They are not guarantees of actual bid prices or construction costs, which can vary with market conditions, scope changes, and other factors outside our control. Final design, code compliance, means and methods, and construction decisions remain the responsibility of the appropriate licensed professionals and project team.
Intellectual property
You keep ownership of the materials you provide us. Subject to payment in full, you receive a non-exclusive right to use the final deliverables we prepare for the project they were created for. We keep ownership of our pre-existing tools, templates, standards, methods, and know-how. The content of this website, including text, graphics, logos, and layout, belongs to Construct Detail or its licensors and may not be copied or reused without our permission.
Confidentiality
We keep your non-public project information confidential and use it only to provide our services, as described in our Privacy Policy. This does not apply to information that is public, that we already knew, or that we are required by law to disclose.
Website use
You agree not to use the site unlawfully, interfere with its operation or security, attempt unauthorized access, send malicious files or code through our forms, or submit false or misleading information. We may suspend or restrict access if these Terms are violated.
Third-party links
The site may link to third-party websites. We do not control them and are not responsible for their content or practices.
Disclaimer of warranties
The website is provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the site will be uninterrupted or error-free. Warranties for services, if any, are limited to those stated in your Project Agreement.
Limitation of liability
To the fullest extent permitted by law, Construct Detail will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from your use of the site or our services. Our total liability for any claim relating to a project is limited to the fees you paid us for the services giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.
Indemnification
You agree to defend and hold Construct Detail harmless from claims, losses, and expenses, including reasonable attorneys’ fees, arising from materials you provide that you did not have the right to share, or from your misuse of our deliverables or the site.
Governing law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law rules. Any dispute relating to these Terms or the site will be brought in the state or federal courts located in New York, and you consent to their jurisdiction.
Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a new effective date, and continued use of the site means you accept the changes.
